Hanwha Ocean is embarking on a journey to transition from a traditional shipbuilder to an Engineering, Procurement, Construction, Installation, and Operation (EPCI(O)) solution provider, offering products such as FPSO, FLNG, Offshore Renewables and other Floating Production Units.

The Offshore Business Division recently expanded its global footprint by establishing a new Global Business Centers in North America and Europe with the intention of becoming a project-centric and client-driven business organization. This transformation aims to offer enhanced project execution and knowledge-driven operational models by bridging the upstream culture of three continents across Asia, Europe, and America.

Summary

A Contracts Manager (CM) is responsible for managing client contracts, subcontracts, and coordination of the Offshore Business Unit (OBU) contracts team located at each project office and location. This includes managing high-risk and large-scale contracts and subcontracts, as well as supporting complex commercial negotiations during the tender, project execution, and operations phases. In general, the CM provides counsel and guidance to the Business Development / Business Acquisition (BA/BD) and Project Management Team (PMT) with their contractual, commercial, and technical expertise to offer the necessary directions for key decision making. The main responsibilities are:

• Oversee all contract documentations for OBU projects. Advise internal stakeholders on commercial and contract risks, and support risk management strategies and plans.
• Manage pre-qualification and RFQs for all contracts and subcontracts. Provide consultation of post-award client contract management with the Project Management Team (PMT), including handling insurances, guarantees, securities, and contract notices, amendments, change requests, warranty claims, change orders, and contract closeout.
• Collaborate with the PMT to develop and maintain subcontracting strategies, plans, and procedures. Lead a team to issue and evaluate tenders, and award subcontracts in compliance with company policy.
• Support Supply Chain Management in negotiating purchase order terms and resolving claims.

Key Activities and Duties

• Develop and administer OBU general terms and conditions for placement and control of contracts, subcontracts, and purchase orders.
• Define and maintain generic contract and subcontract templates.
• Prepare and maintain the Contracts Management working procedures.
• Provide commercial and contractual assistance to Supply Chain Management in placing purchase orders.
• Agree on the overall contracting and negotiation strategy with BA/BD and the Commercial departments.
• Support BA/BD efforts on insurance and bank guarantee requirements with the legal team.
• Ensure close collaboration with OBU legal to assist in the development and drafting of contracts and amendments.
• Support and participate in developing contracting strategies and exhibits, preparing sub-contracts, in support of the tendering and award process.
• Monitor performance and compliance with contractual requirements, expedite disciplines as necessary, and highlight potential areas of concern.
• Contribute to commercial and contractual awareness across the project team throughout the project's life.
• Identify, highlight, and present contract liability issues, key risks, and relevant clauses to the project team, and provide associated support for decision making.
• Support project contract managers with project correspondences and negotiations to clients and subcontractors.
• Ensure the follow up on payment milestones and support payment processes.
• Maintain a compliant and auditable contractual management system.
• Participate in and provide input to risk and opportunities management process during tendering and project execution.
• Ensure warranty conditions are managed and applied in line with contract provisions.
• Support the management of project liabilities minimizing LDs within the prime contract.
• Lead contract and subcontract negotiations on major change orders and claims affecting OBU’s profitability.

Measure of Effectiveness:

• The project’s administrative setup is fully compliant with the contract, project specifications, and internal requirements, and is established and maintained promptly.
• Main contract, subcontract, and purchase order terms and conditions are administered effectively, ensuring adherence, and commercial and contractual assistance is provided.
• Performance and compliance with contractual requirements are monitored consistently, with potential areas of concern highlighted and necessary disciplines expedited.
• Work closely with project contract managers to ensure main contract deliverables are reported accurately, with specifications, drawings, manuals, formats, and requirement dates established and followed up in a timely manner.
• A compliant and auditable contractual management system is maintained, with proactive input to risk and opportunities management processes.

Education: Postgraduate (or equivalent) in a relevant technical, management or professional field.

Minimum:

• 10 years of commercial/contracts experience managing offshore EPCI projects.
• 5 years of commercial/contract department manager experience.

• Contracting skills (i.e. drafting, negotiation): Drafting and negotiating agreements effectively, using financial and risk management insights for better decisions.
